1. Acceptance of Terms
Welcome to Nexify AI ("we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our AI customer service platform, website, and related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
Nexify AI is a company registered in The Hague, Netherlands, with Chamber of Commerce (KVK) number 42114767. These Terms are governed by Dutch law.
2. Service Description
Nexify AI provides an AI-powered customer service platform that enables businesses to automate customer interactions across chat, phone, and email channels. Our Service includes:
- AI chatbot widget for website integration
- AI phone agent for phone call handling
- AI email agent for email response management
- Multilingual support (30+ languages)
- Lead capture and management tools
- Dashboard and analytics (where applicable)
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
3. User Obligations
By using our Service, you agree to:
- Provide accurate and complete information during registration and onboarding
- Use the Service only for lawful purposes and in accordance with these Terms
- Maintain the security of your account credentials and notify us immediately of any unauthorized access
- Not attempt to reverse engineer, hack, or disrupt the Service or its underlying technology
- Not use the Service to send spam, malicious content, or to violate any third-party rights
- Comply with all applicable laws and regulations in your use of the Service
- Ensure that your use of the Service does not violate the rights of any third party
4. Service Level Agreement (SLA)
4.1 Uptime Commitment
We strive to maintain 99.9% uptime for our Service, measured monthly. Scheduled maintenance windows are excluded and will be communicated in advance. If we fail to meet this commitment, you may be eligible for service credits as detailed below.
4.2 Service Credits
If uptime falls below 99.9% in any given month, we will credit 10% of your monthly fee for each additional 0.5% below the SLA target, up to a maximum of 50% credit. To claim service credits, you must submit a request to [email protected] within 30 days of the incident.
4.3 Support
We provide email support during business hours (Monday-Friday, 9:00-17:00 CET). Response times vary by plan tier. For urgent issues, use the priority support channel provided in your plan.
5. Payment Terms
5.1 Subscription Fees
Subscription fees are billed monthly or annually, depending on your chosen plan. All fees are exclusive of taxes, which you are responsible for paying. Payment is due at the start of each billing period.
5.2 Payment Methods
We accept major credit cards, bank transfers, and other payment methods as indicated on our platform. Late payments may result in service suspension after 14 days of non-payment.
5.3 Refunds
You may cancel your subscription at any time. Refunds are not provided for partial billing periods. For annual plans, you may request a pro-rated refund if you cancel within the first 30 days.
6. Intellectual Property
All content, technology, trademarks, logos, and software comprising the Service are the property of Nexify AI or our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes only.
You retain ownership of your data and content you provide through the Service. We only use your data to provide the Service and improve our AI models (with anonymized data only, unless you explicitly opt in to model training).
7. Limitation of Liability
To the fullest extent permitted by law, Nexify AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to these Terms or the Service.
Our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to Nexify AI in the 12 months preceding the claim.
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
Our AI models may occasionally produce incorrect, incomplete, or misleading information. You are responsible for reviewing and validating AI-generated outputs before acting on them.
8. Termination
8.1 Termination by You
You may cancel your subscription at any time through your account settings or by contacting support. Access to the Service continues until the end of the current billing period.
8.2 Termination by Us
We may suspend or terminate your access to the Service at any time if you breach these Terms, including non-payment, misuse of the Service, or violation of applicable laws. We will provide written notice where reasonable.
8.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination for data export purposes, after which we may delete or anonymize your data.
9. Privacy & Data Protection
Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms. We comply with the General Data Protection Regulation (GDPR) and are happy to sign a Data Processing Agreement (DPA) upon request.
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall be resolved in the courts of The Hague, Netherlands. If you are a consumer residing in the EU, you may also be entitled to resolve disputes through the European Online Dispute Resolution platform.
11. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
